The Nelson House Development Corporation (NHDC) is seeking a qualified individual to act as Board member. Candidates must be a member of NCN, leaders and visionaries who have strong capacity in the areas of First Nations business, finance, land governance, economic development, investments and organizational development.
The Board is composed of five (5) members: four (4) individuals who are from NCN on or off reserve and one (1) independent ally with experience in business, finances, land governance and/or legal experience.
The Board has oversight responsibility for the stewardship of NHDC and is accountable to beneficiaries and shareholders for the performance of NHDC and its businesses. The role of the Board is to supervise the executive management of NHDC’s business and affairs, with the objective of creating value for our beneficiaries, shareholders and taking into account the interests of other stakeholders.
The Board, in cooperation with executive management, establishes and is responsible for the company’s strategic direction and its overall policies. In doing so, the Board provides governance and stewardship to NHDC which consists of reviewing corporate strategy, assigning responsibility to management for achievement of that strategy, establishing limitations on the authority delegated to management and overseeing performance against approved objectives. The Board regularly reviews NHDC’s strategic plan to ensure that it continues to be responsive to the changing business environment in which NHDC operates.
Among its activities that derive from its stewardship and decision-making responsibilities, are the following responsibilities:
- Strategic Planning
- Executive Oversight
- Corporate Governance
- Financial Matters – risk management, investment strategy, internal controls
- Environmental sustainability, safety and security
- Pension or Retirement Funds
Eligibility of Appointment:
- Must be over 18 years of age
- Strong knowledge for First Nations Land Governance and leading land development projects
- Familiarity with National First Nation land, finance and fiscal institutions, (AFOA, FNTC, FMB, FNFA, FNII and LABRC).
- Can actively participate in Board deliberation and achieve consensus.
- Is not the Chief or Council member of the Band Council of NCN.
- The incumbent must complete and clear a Criminal Record Check prior to appointment on the Board.
- Has not been found guilty by a court or is currently subject to legal proceedings for a criminal offence in Canada or elsewhere.
- Is not an employee of or is under contract to provide services to NHDC or its Businesses.
- Must complete and clear all required background checks prior to appointment.
Board Member Expectations:
- Monitoring and ensuring the financial sustainability of the company including establishing internal controls, investment strategy and risk management measures.
- Establishing standards of organizational conduct and providing guidance of all corporate performance.
- Commitment to attend all meetings required by the board of NHDC.
- Attend both the NHDC Annual General Meeting and NCN AGA.
The board will be appointed for period of up to four (4) years and will be accountable to the Shareholders. The composition of the board is five (5) members. The board members must commit to monthly board meetings and special meetings as well as participate in corporate and policy development, training and committee work.
